04【On the main investment methods of foreign companies in Vietnam】

A)Joint venture contract, which is described in detail below。

B)The businesscooperation contract (BCC) allows a foreign company to cooperate with a Vietnamese company to engage in commercial trade in which it is interested, but cannot set up a company without ownership. There are many local Vietnamese companies that can offer a variety of alternatives to such contracts, but BCC licenses, like other types of foreign investment, have no tax holiday or concession. Because of government restrictions, the BCC has no access to the telecommunications and oil industries, including its operations and management.

C)As 100-percentforeign-invested enterprises ("FIE's ") are becoming used as a form of investment, investors need to set up their own companies in the local system. In May 2000, the national assembly amended the relevant provisions of the foreign investment act on the procedures for the transformation from joint venture trade to sole proprietorship trade. The revised law improves many provisions of the previous 1996 version, making it easier for Vietnam to attract foreign investment. Regulatory control over investors has been consolidated by harmonizing the reduction of a large number of marginal joint ventures for unified approvals. To this end, the government has simplified the permit application process, reduced the tax rate on remittances, and reduced the burden on foreign investment. It is worth noting that FIE's has less access to land rights than other forms of investment (except for industrial zones and special economic zones) and more restrictions on the duration of licences.

D)BOT (build-operate-transfer) investment contract authority is lower than FIL, but the legal, regulatory and financial framework is not complete. FIL can also operate three types of investment projects: BOO (build-transfer-own, build-operate-owned), BTO (build-transfer-operate-transfer) and BT (build-transfer, build-transfer). Most international observers believe BOT and other private financing will be key to Vietnam's future infrastructure. So far, a large number of infrastructure to other countries, Vietnam and bilateral official development assistance (ODA) officialdevelopmentassistance, through financing is completed, but some limited government projects are not possible.

The investor builds the foundation project through the BOT contract, carries on the operation and profits during the contract period, and returns to the local government free of charge after the contract expires. In principle, BOT projects are at the disposal of the prime minister's office. BOT projects can be joint venture or wholly foreign owned. Under the contract, such projects are exempt from land taxes and import duties, enjoy a lower profit tax (10%), deduct income tax (5%), enjoy an eight-year tax holiday from the first year of profits, and the government promises to collect foreign currency for tax purposes. After the ownership of the project is returned to the government, the foreign businessmen can extend the operation contract by renewing it for 50 years.
